General Terms and Conditions of Katriina North Ltd (North Katriina)

  1. Definitions 1.1. "Company" refers to Katriina North Ltd, trading as North Katriina. 1.2. "Client" refers to any individual or entity purchasing goods or services from the Company. 1.3. "Agreement" refers to these terms and conditions and any related contract or purchase order.
  2. Applicability 2.1. These terms and conditions apply to all transactions between the Company and the Client unless otherwise agreed in writing. 2.2. By engaging with the Company, the Client agrees to these terms.
  3. Products and Services 3.1. The Company endeavors to provide products and services as described on its website, promotional materials, or agreed upon in writing. 3.2. Specifications of products or services may be subject to change without notice due to improvements or regulatory requirements.
  4. Pricing and Payment 4.1. All prices are in [GBP] and exclude applicable taxes unless explicitly stated. 4.2. Payment is due [within 10 days] from the invoice date unless otherwise agreed in writing. 4.3. Late payments may incur interest at [8]% per month, calculated from the due date until payment is received. 4.4. The Company reserves the right to withhold or suspend services in case of non-payment.
  5. Delivery and Risk 5.1. Delivery dates are estimates and not guaranteed. The Company is not liable for delays beyond its control. 5.2. Risk of loss or damage to goods passes to the Client upon delivery. 5.3. Ownership of goods remains with the Company until full payment is received.
  6. Returns and Refunds 6.1. Requests for returns or refunds must be made within [14 days] of delivery. 6.2. Returned items must be in their original condition and packaging. 6.3. Refunds will be processed within [7 days] of approval, minus any applicable fees.
  7. Warranties and Liability 7.1. The Company warrants that its products and services conform to agreed specifications at the time of delivery. 7.2. The Company’s liability for defects is limited to repair, replacement, or refund at its discretion. 7.3. The Company is not liable for indirect, consequential, or incidental damages unless required by law.
  8. Confidentiality 8.1. Both parties agree to keep confidential any proprietary or sensitive information disclosed during their business relationship. 8.2. This clause remains in effect even after termination of the Agreement.
  9. Intellectual Property 9.1. All intellectual property rights in the Company’s materials, designs, and services remain with the Company. 9.2. The Client may not reproduce, distribute, or use the Company’s intellectual property without prior written consent.
  10. Termination 10.1. Either party may terminate the Agreement with written notice in case of material breach by the other party. 10.2. The Company reserves the right to terminate the Agreement for convenience with [7 days’] notice.
  11. Force Majeure 11.1. The Company is not liable for failure to fulfill its obligations due to events beyond its reasonable control, including but not limited to natural disasters, pandemics, strikes, or government actions.
  12. Governing Law and Dispute Resolution 12.1. These terms and conditions are governed by the laws of [England and Wales.]. 12.2. Any disputes will be resolved amicably or through mediation before resorting to legal proceedings.
  13. Miscellaneous 13.1. Amendments to these terms must be made in writing and signed by both parties. 13.2. If any provision of these terms is found to be invalid, the remaining provisions remain enforceable.
